ACCEPTANCE OF TERMS

By accessing, browsing, or utilizing any services provided by Sell 1 Percent ("Company," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Sell 1 Percent.

If you do not agree to these Terms, you must immediately discontinue use of our services and refrain from engaging with our programs. Your continued use of our services following any modifications to these Terms constitutes acceptance of those changes.

These Terms apply to all users of our services, including but not limited to individuals, property owners, sellers, and any parties engaging with our listing programs and cost reduction strategies.

SERVICE DESCRIPTION

Sell 1 Percent provides low-fee home selling solutions designed to maximize seller net proceeds while minimizing transaction costs. Our services include, but are not limited to:

1% Listing Program: A residential real estate listing service whereby the Company agrees to market and facilitate the sale of your property for a listing commission of one percent (1%) of the final sale price, subject to the terms of a separate listing agreement.

Seller Cost Reduction Strategy: Consultation and implementation of cost-saving measures throughout the home selling process, including but not limited to negotiation strategies, vendor recommendations, and transaction cost analysis.

Net Proceeds Optimization: Comprehensive analysis and strategic planning to maximize the financial outcome of your property sale through pricing strategy, marketing optimization, and expense management.

All services are provided subject to the execution of appropriate service agreements, listing contracts, and disclosures as required by applicable real estate laws and regulations. The Company operates as a licensed real estate brokerage and all services are performed in accordance with applicable real estate licensing requirements.

The specific terms of the listing arrangement, including commission structure, duration, and obligations of all parties, will be detailed in a separate listing agreement that must be executed prior to the commencement of listing services.

USER OBLIGATIONS

By engaging with Sell 1 Percent, you agree to:

Provide Accurate Information: Supply complete, accurate, and truthful information regarding your property, financial situation, and any material facts that may affect the marketability or value of your property. You acknowledge that failure to disclose material defects or information may result in legal liability.

Maintain Property Access: Grant reasonable access to the property for showings, inspections, appraisals, and photography as necessary to effectively market and sell the property.

Comply with Listing Terms: Adhere to all terms specified in the listing agreement, including but not limited to pricing decisions, showing accommodations, and cooperation with marketing efforts.

Timely Communication: Respond promptly to inquiries, offers, and requests for information or documentation necessary to facilitate the transaction.

Legal Compliance: Ensure that the sale of your property complies with all applicable federal, state, and local laws, including fair housing regulations, disclosure requirements, and homeowner association rules.

Financial Responsibility: Pay all fees, commissions, and costs associated with the sale of your property as outlined in the listing agreement and these Terms.

Professional Conduct: Treat Company representatives, prospective buyers, and other parties involved in the transaction with respect and professionalism.

You acknowledge that breach of these obligations may result in termination of services and potential legal liability for damages incurred by the Company or third parties.

APPOINTMENT SCHEDULING AND CANCELLATIONS

Initial consultations and property evaluations may be scheduled by contacting Bryce.Hunter@sell1percent.info or through other designated scheduling mechanisms provided by the Company.

Scheduling Commitments: Once an appointment is scheduled, you agree to make reasonable efforts to be available at the designated time. If circumstances require rescheduling, you must provide notice as early as possible.

Cancellation Policy: You may cancel or reschedule appointments by providing at least twenty-four (24) hours advance notice. While we do not charge cancellation fees for initial consultations, repeated cancellations or no-shows may result in the Company declining to provide further services.

Company Cancellations: The Company reserves the right to cancel or reschedule appointments due to emergencies, scheduling conflicts, or other unforeseen circumstances. We will make reasonable efforts to provide advance notice and offer alternative scheduling options.

Property Showings: Once your property is listed, showing schedules will be coordinated according to the terms of the listing agreement. You agree to accommodate reasonable showing requests to maximize market exposure, subject to advance notice requirements specified in the listing agreement.

Late Arrivals: If you arrive more than fifteen (15) minutes late to a scheduled appointment without prior notice, the Company reserves the right to reschedule the appointment.

PAYMENT TERMS

Commission Structure: The primary compensation for our 1% Listing Program is a listing commission equal to one percent (1%) of the final sale price of your property. This commission is payable at closing from the sale proceeds.

Buyer Agent Compensation: In addition to our listing commission, you may be responsible for compensation to the buyer's agent, which is typically negotiated separately and will be specified in the listing agreement. This is distinct from our 1% listing fee.

Additional Services: Any services requested beyond the scope of the standard listing program may be subject to additional fees, which will be disclosed and agreed upon in writing prior to the provision of such services.

Payment Timing: All commissions and fees are due and payable at the closing of the property sale. Payment will be disbursed through the closing or escrow process according to standard real estate transaction procedures.

Early Termination: If you terminate the listing agreement prior to sale, you may be responsible for reimbursement of actual out-of-pocket marketing expenses incurred by the Company, as specified in the listing agreement.

Failed Transactions: If a transaction fails to close due to buyer default after you have accepted an offer, commission obligations will be determined according to the terms of the listing agreement and applicable law.

Refunds: Commissions paid are generally non-refundable once the transaction has closed, except in cases of fraud, material misrepresentation by the Company, or as otherwise required by law.

Third-Party Costs: You are responsible for all third-party costs associated with selling your property, including but not limited to title insurance, transfer taxes, recording fees, home warranty costs, inspection repairs, and any other closing costs not specifically assumed by the buyer.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Sell 1 Percent, its officers, directors, employees, agents, and affiliated brokers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services or the sale of your property.

This includes, but is not limited to, damages for lost profits, loss of use, business interruption, loss of data, or other intangible losses, even if the Company has been advised of the possibility of such damages.

The Company's total aggregate liability for any claims arising out of or relating to these Terms or our services shall not exceed the total amount of commissions actually paid to the Company by you for the specific transaction giving rise to the liability.

The Company is not responsible for:

Market Conditions: Fluctuations in real estate market conditions, property values, or the time required to sell your property.

Buyer Actions: Actions, representations, or financial capability of prospective buyers, including buyer financing failures or contract breaches.

Third-Party Services: The quality, timeliness, or performance of third-party service providers, including inspectors, appraisers, lenders, title companies, or contractors, even if recommended by the Company.

Property Conditions: Undisclosed or unknown defects in the property, environmental conditions, or other property-related issues not reasonably discoverable through standard listing procedures.

Legal or Regulatory Changes: Changes in laws, regulations, or market practices that affect the transaction.

Technology Failures: Interruptions in website availability, email delivery, or other technology-dependent services due to factors beyond our reasonable control.

Nothing in these Terms shall limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by applicable law.

WARRANTY DISCLAIMERS

The services provided by Sell 1 Percent are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied.

To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including but not limited to:

Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Sale Guarantees: The Company does not guarantee that your property will sell, that it will sell within any specific timeframe, or that it will sell for any particular price. Real estate transactions are subject to market forces, buyer availability, property conditions, and numerous other factors beyond the Company's control.

Pricing Accuracy: While the Company will provide comparative market analyses and pricing recommendations based on available data and professional experience, we do not warrant that any suggested listing price is accurate, optimal, or will result in a sale.

Marketing Results: Although the Company will undertake reasonable marketing efforts as specified in the listing agreement, we do not guarantee any specific level of showing activity, buyer interest, or marketing reach.

Information Accuracy: While we strive to provide accurate information, the Company does not warrant the accuracy, completeness, or timeliness of any market data, property information, or other content provided through our services.

Uninterrupted Service: The Company does not warrant that our services will be uninterrupted, timely, secure, or error-free.

Third-Party Content: Any information, advice, or services provided by third parties are not warranted or endorsed by the Company.

You acknowledge that real estate transactions involve significant financial decisions and risk, and you are encouraged to seek independent legal, financial, tax, and other professional advice before engaging in any real estate transaction.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the property is located and where services are rendered, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the services provided by Sell 1 Percent shall be resolved through the dispute resolution mechanisms specified in the listing agreement, or if not specified, through binding arbitration or litigation in the courts having jurisdiction over the location where services were provided.

You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claims or disputes.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

CHANGES TO TERMS

Sell 1 Percent reserves the right to modify, amend, or update these Terms of Service at any time, at our sole discretion. Changes may be made to reflect evolving legal requirements, business practices, service offerings, or operational needs.

When material changes are made to these Terms, we will make reasonable efforts to notify you through email communication, website posting, or other appropriate means. However, it is your responsibility to periodically review these Terms to stay informed of any updates.

Your continued use of our services following the posting or notification of changes constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of our services.

For clients with active listing agreements at the time of any Terms modification, the version of the Terms in effect at the time of entering into the listing agreement shall generally govern that specific transaction, unless otherwise required by law or unless the changes are necessary to comply with legal or regulatory requirements.

Changes to these Terms do not affect any rights or obligations that arose prior to the effective date of such changes.

The Company may also modify service offerings, pricing structures, or program features at any time. Any such changes will be communicated through appropriate channels and will be reflected in future listing agreements, but will not retroactively affect existing agreements unless mutually agreed upon in writing.

INTELLECTUAL PROPERTY

All content, materials, trademarks, service marks, logos, and intellectual property associated with Sell 1 Percent and its services remain the exclusive property of the Company. You may not reproduce, distribute, modify, or create derivative works from any Company materials without express written permission.

CONFIDENTIALITY

The Company agrees to maintain the confidentiality of your personal information and property details in accordance with applicable privacy laws and professional real estate standards. However, you acknowledge that marketing your property for sale necessarily involves public disclosure of property information.
